Affiliate Terms and Conditions of Videnso Group S.L.

The following Terms and Conditions govern the agreement between Videnso Group S.L., registered in the Málaga Commercial Register under number MA-178760 (hereinafter referred to as Service Provider) and the other party (hereinafter referred to as Publisher).

By registering on the Videnso Group S.L. website, the Publisher agrees to these Terms and Conditions.

Article 1. Nature of the Affiliate Service

1.1. General Provisions

The Service Provider operates a website that allows third parties (“Visitors”) to access information and/or enter into agreements with the Service Provider. If Visitors enter into agreements facilitated by the Affiliate Service, these agreements are made directly with Service Provider and not with the Publisher. Service Provider indemnifies the Publisher against any claims from Visitors regarding the performance of this agreement.

1.2. Services Provided by Publisher

The Publisher provides services to the Service Provider by attracting identified Visitors who wish to enter into an agreement with the Service Provider (hereinafter referred to as the “Affiliate Service”). The Service Provider will pay the Publisher a commission for this service.

1.3. Independent Relationship

This agreement does not create a partnership, joint venture, or equivalent legal relationship between the parties. Neither party may enter into agreements on behalf of the other.

1.4. No Guarantees

The Publisher does not guarantee specific Visitor numbers, completed agreements, or performance results. Any estimated figures in the Publisher’s advertisements are indicative only and not legally binding.

1.5. Registration Requirements

The Publisher must provide complete and accurate information upon registration, including name, address, and VAT number. The Service Provider reserves the right to accept or reject applications at its sole discretion.

1.6. Account Access and Security

Upon signing the agreement, the Service Provider will provide the Publisher with a username and password to access a control panel displaying campaigns and commissions. The Publisher is responsible for keeping these credentials confidential. The Service Provider is not liable for any misuse of login details.

Article 2. Promotion by Publisher

2.1. Authorized Promotional Channels

The Publisher may promote the Affiliate Service, but only on platforms they own and manage.

2.2. Use of Branding and Marketing Materials

The Publisher may use the Service Provider’s brand name, logo, and promotional materials, provided they remain unaltered. The Service Provider may impose additional branding guidelines. The Service Provider indemnifies the Publisher against third-party copyright claims related to these materials.

2.3. Prohibited Activities

The Publisher is strictly NOT allowed to:

• Misrepresent themselves as an official partner, dealer, or authorized representative of the Service Provider.

• Conduct promotions on illegal, unethical, or misleading websites.

• Send unsolicited marketing emails, SMS, or spam.

• Advertise on adult, erotic, or pornographic websites.

• Register domain names or social media handles similar to Videnso Group S.L..

• Offer false incentives to encourage clicks on promotional materials.

• Use automated systems to generate clicks or manipulate commissions.

• Engage in any activity that harms the reputation of the Service Provider.

2.4. Publisher’s Responsibilities

• The Publisher must not make false or misleading claims about the Service Provider’s products or services.

• If the Service Provider suspects a violation of these rules, the Publisher must immediately cease the activity. If the Publisher fails to comply, the Service Provider may terminate the agreement.

Article 3. Compensation for the Affiliate Service

3.1. Commission Structure

The Service Provider will pay the Publisher a percentage-based commission for each agreement signed by a Visitor referred by the Publisher. The exact commission rate will be specified in the agreement.

3.2. Cookie-Based Tracking

A commission is only valid if a cookie containing the Publisher’s identification is recorded during the Visitor’s first visit.

3.3. Validity of Commissions

No commissions will be paid for agreements signed after contract termination, except when the Visitor had already initiated consent before termination.

3.4. Reasons for Commission Denial

The Service Provider may refuse commission payments for valid reasons, including:

• Fraudulent activity or invalid leads.

• Incorrect visitor contact details.

• Returning customers who already have an account.

• Blacklisted visitors flagged by the Service Provider.

• Cancellations within legal cooling-off periods (e.g., under e-commerce regulations).

Article 4. Billing and Payment

4.1. Payment Threshold

The Service Provider will only process payments when the Publisher’s commission balance exceeds €100.

4.2. Invoicing Requirements

The Publisher must submit electronic invoices to the Service Provider.

4.3. Payment Processing Time

Payments will be made within 30 days after invoice approval.

4.4. VAT Requirements

If the Publisher is based outside Spain, the Service Provider may require a valid VAT number before processing payments.

Article 5. Reporting

5.1. Performance Tracking

The Publisher will have access to a control panel displaying their performance metrics and commissions.

5.2. Data Disputes

The Service Provider’s reported data is final unless the Publisher provides convincing counter-evidence.

Article 6. Limitation of Liability

6.1. Direct Damages

The Service Provider is only liable for direct damages caused by negligence.

6.2. No Indirect Liability

The Service Provider is not liable for indirect damages such as loss of profits, data, or reputation.

6.3. Maximum Liability

The Service Provider’s maximum liability is limited to the total commissions earned in the three months prior to the damage event.

Article 7. Term and Termination

7.1. Duration of Agreement

This agreement remains valid indefinitely unless terminated.

7.2. Termination Rights

Both parties may terminate the agreement at any time.

7.3. Suspension of Payments

If the Publisher violates this agreement, the Service Provider may suspend payments.

7.4. Termination for Violations

If the Publisher engages in prohibited activities, the Service Provider may terminate the agreement immediately, forfeiting any pending commissions.

Article 8. Disputes and Governing Law

8.1. Jurisdiction

This agreement is governed by Spanish law.

8.2. Dispute Resolution

Disputes will be resolved in the competent court of Málaga, Spain.

Article 9. Amendments and Additions

9.1. Service Provider’s Right to Modify Terms

The Service Provider may amend these terms with 30 days’ notice.

9.2. Publisher’s Right to Terminate

If the Publisher disagrees with the amendments, they may terminate the contract within 30 days.
